AZ Finance

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "Client," or "you") and AZ Finance ("Company," "we," or "us"), governing your use of the AZ Finance Dashboard application ("Application"), which integrates with Intuit QuickBooks Online ("QuickBooks") and other third-party services to provide financial reporting and analytics.

1. Acceptance of Terms

By accessing or using the Application, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you must not access or use the Application. Your continued use of the Application constitutes acceptance of any updates or modifications to this Agreement.

2. License Grant

Subject to the terms of this Agreement, AZ Finance grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for your internal business purposes. This license does not include the right to sublicense, distribute, sell, or make the Application available to any third party without prior written consent from AZ Finance.

3. QuickBooks Online Integration

The Application connects to your QuickBooks Online account through Intuit's official OAuth 2.0 API to retrieve financial data for display in the dashboard. By using this feature, you acknowledge and agree that:

• You authorize AZ Finance to access your QuickBooks Online data solely for the purpose of generating financial reports and dashboards.
• AZ Finance will only access the data necessary to provide the services described herein, including but not limited to Profit & Loss statements, Balance Sheets, Cash Flow statements, and Accounts Receivable/Payable aging reports.
• Your QuickBooks Online data is subject to Intuit's own Terms of Service and Privacy Policy.
• You may revoke the Application's access to your QuickBooks data at any time through your Intuit account settings.
• AZ Finance does not store your QuickBooks login credentials. Authentication is handled exclusively through Intuit's secure OAuth 2.0 protocol.

4. Data Handling and Privacy

AZ Finance is committed to protecting your financial data. We adhere to the following principles:

• Data Access: We access only the financial data necessary to provide dashboard reporting services.
• Data Storage: Financial data retrieved from QuickBooks is used for real-time display and is not permanently stored on our servers beyond what is necessary for caching and performance purposes.
• Data Security: We employ industry-standard security measures, including HTTPS encryption, secure session management, and access controls to protect your data.
• Data Sharing: We do not sell, rent, or share your financial data with any third parties, except as required by law or as necessary to provide the services described in this Agreement.
• Data Retention: Upon termination of this Agreement, we will delete any cached data associated with your account within 30 days.
• Security Measures: AZ Finance implements industry-standard security practices including HTTPS encryption, two-factor authentication, Content Security Policy headers, API rate limiting, audit logging, and AES-256-GCM encryption of OAuth tokens. 5. User Responsibilities

As a user of the Application, you agree to:

• Maintain the confidentiality of your login credentials and not share them with unauthorized individuals.
• Ensure that only authorized personnel within your organization access the dashboard.
• Notify AZ Finance immediately of any unauthorized access or security breach.
• Use the Application in compliance with all applicable laws and regulations.
• Not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application.

6. Intellectual Property

The Application, including all software, design, graphics, interfaces, and documentation, is the intellectual property of AZ Finance and is protected by copyright, trademark, and other intellectual property laws. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by AZ Finance.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AZ FINANCE DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. FINANCIAL DATA DISPLAYED IN THE DASHBOARD IS SOURCED FROM QUICKBOOKS ONLINE AND AZ FINANCE IS NOT RESPONSIBLE FOR THE ACCURACY OR COMPLETENESS OF DATA PROVIDED BY INTUIT OR ANY OTHER THIRD-PARTY SERVICE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AZ FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION. AZ FINANCE'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO AZ FINANCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Term and Termination

This Agreement is effective upon your first use of the Application and continues until terminated. Either party may terminate this Agreement at any time with written notice. Upon termination:

• Your access to the Application will be revoked.
• AZ Finance will disconnect from your QuickBooks Online account.
• Any cached data will be deleted within 30 days.
• Sections 6, 7, 8, and 10 shall survive termination.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in California.

11. Modifications

AZ Finance reserves the right to modify this Agreement at any time. We will notify you of material changes by email or through the Application. Your continued use of the Application after such modifications constitutes acceptance of the updated terms.
